Cogentiq eCommerce Sweepstakes Official Rules

1. Sponsor

The Cogentiq eCommerce Sweepstakes (the “Sweepstakes”) is sponsored by Fractal Analytics Inc, with offices at Suite 206, 11911 NE 1st St, Bellevue, WA, 98005 (“Sponsor”).

2. Promotion Period

The Sweepstakes begins on August 10, 2026 at 12:01AM, and ends at 11:59 p.m. ET on September 30, 2026 (the “Promotion Period”). Only eligible entries received during the Promotion Period will be included in the random drawing.

3. Eligibility

The Sweepstakes is open only to individuals who, at the time of entry:

  • are legal residents of the fifty (50) United States or the District of Columbia;

  • are at least eighteen (18) years of age;

  • are registering in connection with the applicable event;

  • are employed by, or otherwise authorized to act on behalf of, a business entity that is a prospective customer of Sponsor; and

  • are authorized to submit an entry on behalf of that business entity.

The Sweepstakes is intended for business participants only. Any Prize will be awarded to the entrant’s employer or affiliated business entity identified in the entry, and not to the individual entrant personally.

Employees, officers, and directors of Sponsor, its affiliates, subsidiaries, advertising or promotion agencies, and the immediate family members and household members of each are not eligible to enter.

4. Agreement to Official Rules

By submitting an entry, each entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of Sponsor, which are final and binding in all matters relating to the Sweepstakes.

5. No Purchase Necessary

No purchase, payment, or commercial commitment is necessary to enter or win. Entry into the Sweepstakes is not conditioned on purchasing any product or service, paying any fee, signing any memorandum of understanding, entering into any trial arrangement, or executing any other commercial document.

6. How to Enter

During the Promotion Period, eligible entrants may enter the Sweepstakes by allowing Sponsor to scan their official event badge at Sponsor’s booth during the Event. Each eligible badge scan constitutes one (1) entry into the Sweepstakes.

Following the Event, Sponsor may contact entrants to continue the conversation, answer questions about Cogentiq eCommerce, or schedule a follow-up demonstration. Participation in any follow-up discussion is entirely voluntary and is not required to enter or win the Sweepstakes.

7. Entry Limits

Limit one (1) entry per business entity during the Promotion Period. If multiple entries are submitted on behalf of the same business entity, Sponsor may accept only the first eligible entry received or disqualify duplicate entries, in Sponsor’s discretion. Entries that are incomplete, false, inaccurate, fraudulent, altered, automated, or late are void.

8. Trial Interest and Separate Onboarding

As part of the registration process, Sponsor may provide entrants with the opportunity to indicate interest in receiving information about a trial, pilot, demo, memorandum of understanding, or related onboarding materials.

Any such trial, pilot, demo, memorandum of understanding, onboarding process, or other commercial arrangement is separate from the Sweepstakes. Expressing interest in, entering into, or declining any such arrangement:

  • is not required to enter the Sweepstakes;

  • does not affect eligibility, provided the entry otherwise complies with these Official Rules; and

  • does not increase or decrease the chances of winning.

9. Prize

One (1) winning business entity will receive one (1) complimentary twelve (12)-month subscription to Cogentiq eCommerce, including support for up to fifty (50) ASINs (the “Prize”).

The Prize will be awarded only to the winning business entity, is non-transferable except by Sponsor, may not be redeemed or exchanged for cash, and is subject to Sponsor’s standard onboarding requirements and applicable subscription, service, and license terms.

10. Winner Selection

On or about October 14, 2026, Sponsor will select one (1) potential winner in a random drawing from among all eligible entries received during the Promotion Period. Odds of winning depend on the number of eligible entries received.

11. Prize Acceptance

As a condition to receiving the Prize, the selected winner must, within ten (10) business days after Sponsor’s first notification attempt: (a) confirm acceptance of the Prize; (b) provide any reasonably requested proof of identity, eligibility, and authority to act on behalf of the winning business entity; and (c) execute Sponsor’s standard annual subscription agreement and any related onboarding documentation.

The complimentary twelve (12)-month subscription awarded as the Prize will begin on the effective date of the applicable subscription agreement and will continue for twelve (12) months unless earlier terminated in accordance with that agreement.

If the selected winner fails to timely complete any required documentation, is found to be ineligible, declines the Prize, or is unable or unwilling to accept the Prize on Sponsor’s standard terms, Sponsor may disqualify that winner and select an alternate winner.

12. Verification and Business Authority

Sponsor may require the entrant and/or the winning business entity to provide reasonable proof of identity, eligibility, authority to act on behalf of the business entity, and confirmation that acceptance of the Prize does not violate the business entity’s internal policies, gift rules, procurement rules, ethics rules, or applicable law.

13. Separate Prize Documentation

As a condition of receiving and using the Prize, the winning business entity may be required to enter into Sponsor’s standard license agreement, service terms, or other reasonable post-award documentation.

If the selected winner does not timely complete any required post-award documentation, or if Sponsor determines that the winning business entity is unable or unwilling to accept the Prize on applicable terms, Sponsor may disqualify that winner and select an alternate winner.

14. Taxes; Accounting; Revenue Recognition

The winning business entity and any associated individual are solely responsible for any federal, state, local, or other taxes, and any accounting, revenue recognition, reporting, disclosure, or related treatment arising from the Sweepstakes or the Prize. Sponsor does not provide tax, accounting, or legal advice.

15. Privacy

Information collected in connection with the Sweepstakes will be used by Sponsor to administer the Sweepstakes, verify eligibility, contact entrants, and otherwise in accordance with Sponsor’s Privacy Notice, available at wbresearch.com/privacy

By entering, each entrant acknowledges that Sponsor may also retain, and use submitted business contact information for follow-up communications regarding Sponsor’s products and services, subject to applicable law and Sponsor’s Privacy Notice.

16. Publicity

Except where prohibited by law, entry into the Sweepstakes constitutes permission for Sponsor to use the winning business entity’s name, logo, city/state, and a brief description of the Prize for promotional and publicity purposes, without additional compensation, subject to any reasonable brand-use guidelines accepted by Sponsor.

17. General Conditions

Sponsor reserves the right to disqualify any entrant or business entity that Sponsor determines has:

  • violated these Official Rules;

  • submitted false, misleading, or fraudulent information;

  • tampered with the entry process; or

  • acted in a disruptive, abusive, deceptive, or unlawful manner.

Sponsor also reserves the right to cancel, suspend, modify, or terminate the Sweepstakes if fraud, technical failures, human error, legal issues, or any other factor impairs the integrity or proper administration of the Sweepstakes. In such event, Sponsor may select the winner from among all eligible, non-suspect entries received prior to the event giving rise to such action.

18. Release and Limitation of Liability

By participating, each entrant, on behalf of themselves and the business entity they represent, releases and holds harmless Sponsor and its affiliates, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees, and agents from and against any claim arising out of participation in the Sweepstakes or receipt or use of the Prize, except where prohibited by law.

Sponsor is not responsible for lost, late, incomplete, inaccurate, delayed, misdirected, or undeliverable entries or communications, or for technical or human error in the administration of the Sweepstakes.

19. Governing Law

These Official Rules are governed by the laws of the State of Washington, without regard to conflict of laws principles. Any dispute arising out of or relating to the Sweepstakes shall be brought exclusively in the state or federal courts located in Washington, and entrants consent to the jurisdiction of those courts.
